Overview:
The Executive Director of Mergers and Acquisitions will be responsible for the assessment and execution of potential mergers, acquisitions and investments of the company. This position will lead the internal M&A team and will coordinate with key company leadership as opportunities arise. It will manage the entire due diligence process, including working closely with internal business partners in Business Development, Finance, Programs, Engineering, Legal, Environmental Health and Safety and Human Resources to ensure that the processes and agreements are handled appropriately.

The Executive Director of Mergers and Acquisitions will plan and direct all aspects of company policies towards achieving growth through mergers, acquisitions and divestitures. It will be proficient in one or more areas of corporate finance. It will make recommendations and participate in negotiation activities for potential merger, acquisitions and divestitures in support of the organization’s growth objectives.

Essential Job Functions (Including % of Time for Each):
15% Develops strategies and tactics to support the organization’s growth objectives. Manages broad and complex merger and acquisition activities involving decisions and commitments relating to regulation interpretation and company policies.

15% Manages research activities involving target companies and their markets, channels and competitors.

15% Manages due diligence team activities to ensure consistency of information provided by potential acquisition targets.

15% Directs financial analysis and development of financial models for business valuations to support decision making.

15% Identifies and assesses risks and issues related to integration planning, timeliness and functional areas. Provides recommendations regarding the impact of mergers and acquisitions on the organization’s profitability.

15% Represents the organization as the prime contact with senior personnel on matters requiring coordinative activities.

10% Oversees preparation of and reviews of transaction documentation, including regulatory submissions, etc.

Requirements:
A Bachelor’s degree in an appropriate discipline and more than 14 years experience managing a successful corporate Mergers and Acquisitions function. Advanced degree preferred. Must have significant transaction experience and valuation expertise. Strong background in project corporate finance modeling and/or Mergers and Acquisitions processes. Comfortable working across different functions and at different levels in the company. Strong leadership and team building skills. Strong negotiation skills. Superior problem-solving skills, good presentation and project management skills. Understanding of government contracting and associated accounting requirements are preferred. Must be able to obtain and maintain a U.S. Security Clearance at the appropriate level. Requires U.S. citizenship.
